A Modiin based law office is looking for a Corporate Paralegal who is as passionate about their work as we are about the law. The selected candidate will provide legal support on a variety of tasks, focusing on Mergers & Acquisitions including, but not limited to: factual and legal research and analysis, drafting and editing routine correspondence, as well as routine legal documents, compiling information, handling document review projects, and preparing other documentation, statistics, charts, or graphs, as needed. The Corporate Paralegal will be supporting attorneys primarily working on matters governed by U.S. law. Experience with Israeli corporate law is also required.
Responsibilities
* Perform transactional work: review, draft, organize, and summarize agreements, resolutions, checklists, signature pages, and closing binders.
* Conduct UCC searches and filings; manage due diligence (document collection, tracking, organization, and summaries); search public records (electronic and manual) and perform cite-checking.
* Prepare and file securities-related filings, including Form D, Blue Sky submissions, and EDGAR filings under attorney supervision.
* Assist with M&A transactions (closings, consents, schedules, deliverables), corporate contract administration, and corporate financing transactions.
* Form US entities; prepare/submit formation/incorporation documents, foreign qualifications, conversions/mergers, and IRS filings; maintain corporate records; draft routine corporate minutes and consents.
* Maintain and update minute books, closing books, and entity databases; ensure accurate organization and retrieval of records.
* Communicate with clients, agencies (state/federal), vendors (e.g., registered agents), courts, corporations, and other law firms to obtain information and file documents.
* Manage a high volume of work with minimal supervision while meeting strict deadlines and quality standards.
Qualifications
* At least 8 years of corporate paralegal experience with demonstrable depth in entity management, transactional support, and regulatory filings. Relevant education preferred.
* Superior written and verbal communication; excellent client service and interpersonal skills.
* High emotional intelligence; sound judgment; diplomatic conflict resolution.
* Ability to multitask and prioritize a demanding workflow in a deadline driven environment.
* Personal accountability, attentiveness to detail and a disciplined and conscientious approach to completing assignments.

* Technical proficiency: Microsoft 365 (Word, Excel, Outlook, PowerPoint, Teams); e-filing platforms (e.g., EDGAR), UCC/e-recording systems; document management systems; experience with CSC/CT or similar entity management tools preferred.
